Terms of Business
The standing terms on which we act for you. Read with your Engagement Letter, which sets your specific matter and fee. Version 1.0.
Who we are and how we work
NRI Legal Services is a cross border agency. NRI Legal Services Ltd, registered in England and Wales, is your point of contact and coordinates your matter. It is not a law firm and is not regulated by the Solicitors Regulation Authority. Your Indian legal work is carried out by qualified, India-admitted advocates of our associate practice. Where your matter needs advice on tax, on the law of your country of residence, or on another specialism, we coordinate independent, locally regulated professionals who advise you directly under their own engagement and regulation. You deal with a single point of contact through NRI Legal Services Ltd, while each part of your matter is provided by a distinct party: coordination by NRI Legal Services Ltd, legal work in India by the India-admitted advocates, and any specialist advice by independent, locally regulated professionals responsible for their own advice.
Your engagement and scope
Your Engagement Letter sets out the specific work we will do, who will do it, and the fee. We act only within that scope. If your matter changes, becomes contested, or grows beyond the agreed scope, we will agree any change to the work and the fee with you in writing before carrying out the additional work. You are never billed by surprise.
Our fees
We work on a fixed fee agreed with you before we start, after we have reviewed your documents and understood the work involved. The fee is all inclusive for the agreed scope, with no hourly billing and no hidden costs. Certain third party charges, such as court fees, stamp duty, government charges, valuer or notary fees, and taxes, are payable in addition and will be identified to you. Fees are payable as set out in your Engagement Letter.
Payments
We will explain how to pay from your country before you commit. You do not need an Indian bank account. Invoices are payable within the period stated on them. We may pause work on a matter where fees properly due remain unpaid, having first told you.
What we do not promise
We commit to work diligently towards the best outcome for your matter. We cannot and do not guarantee any particular result. Court and regulatory timelines are set by the relevant authorities, not by us, and can change. Any timescales we give are estimates based on typical matters.
Confidentiality and your information
We keep your information confidential to your matter and handle it in line with our Privacy Policy. NRI Legal Services Ltd determine the use of your information on a per activity basis, as controller where they decide purposes and means of use of information. Where your matter is carried out in India, your information is transferred under a formal International Data Transfer Agreement. Your information is never entered into any public artificial intelligence service, and a qualified person reviews any technology assisted output before it reaches you.
Communication
We give you a dedicated point of contact, regular updates on your matter, and access to your case information. We will tell you promptly of any material development.
Liability
NRI Legal Services Ltd is responsible for its own coordination and facilitation services. It is not responsible for the regulated advice of the India-admitted advocates or of any independent specialist, who are each responsible for their own work under their own regulation and insurance.
To the extent permitted by law, NRI Legal Services Ltd’s total liability to you arising from its own services is limited to the fees paid for the matter. Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence or for fraud.
We are not liable for loss caused by your provision of inaccurate or incomplete information, or by events outside our reasonable control.
Complaints
If you are unhappy with our service, please tell your point of contact, or use our Client Complaints Procedure, available on request. We take complaints seriously and aim to resolve them quickly and fairly. Complaints about a specialist’s regulated advice are handled under that professional’s own regulator, and we will help you direct them.
Intellectual property
Documents and materials we prepare remain protected by intellectual property law. You may use them for the purpose of your matter.
Termination
You may end your instructions at any time in writing. We may stop acting for good reason, for example a conflict of interest, a breakdown in trust, or unpaid fees, having first told you. On termination you remain responsible for fees and charges properly incurred up to that point.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, without affecting your rights under the law of the country in which you live. The conduct of Indian legal proceedings within your matter is, necessarily, governed by Indian law and the jurisdiction of the Indian courts.
